this may not help a lot, but I had the very same problem with Tyan 
Thunder LE-T MB, it has 2 onboard NICS, and the second one gave me very 
same message. I was not able to get it working under Win2k either. After 
trying everything, my guess is the broken MB, I`m waiting for a 
replacement, for now.
It`s interfaces are i82559. I had no luck nor  with the mainstreem Linux 
kernel , nor with the latest Donald`s driver.
