2.4 supports the 8139 just fine. Have another look. The config
option is called CONFIG_8139TOO.

If you really want to compile it yourself, try:

gcc -DMODULE -D__KERNEL__ -I/usr/src/linux/include -O6 -c rtl8139.c

(If your 2.4 kernel sources are not in /usr/src/linux, adjust the path
accordingly)
