You can download the latest driver from

http://prdownloads.sourceforge.net/gkernel/8139too-0.9.16.tar.gz

All you need to edit the Makefile; 
KINCLUDE=/to/your/2.4.x/kernel/include/directory.

Following by make from the command-line.  Copy the 8139too.o to 
/lib/modules/2.4.x/kernel/drivers/net.

In the /etc/modules.conf and point your alias to 8139too
alias eth0 8139too
