Unresolved references with RH5.1

I am trying to set up a Netgear FA310TX network card on a computer
using Redhat 5.1 (kernel 2.0.34). 

I download the Tulip.c v0.90 program and compiled it using the
instructions provided, and copied tulip.o into the kernel module
directory.  When I issue the depmod -a command (again following the
printed 
instructions) it reports unresolved  symbols for tulip.o 

(I get the same error using the tulip.c program that comes with the
Netgear card) 

I would appreciate any information on how to fix this problem.

(I haven't subscribed to the list.  Is that necessary to get
assistance?  I queried DejaNews and saw someone reporting this
problem, but I didn't see any response.)
